These Terms of Service (“Terms”) are an agreement between you and Jonnes LLC, doing business as Aileron Marketing (“Aileron Marketing,” “we,” “us”). They apply to your use of AileronMarketing.com and to the services you order from us. By placing an order or using our services you agree to these Terms. If you are agreeing on behalf of a business, you confirm that you have authority to bind that business.
1. Our services
- Local Presence Engine: a managed website service. We design and build a tailored WordPress website for your business, then host, secure, maintain and update it for a monthly fee.
- Local Accelerator: an optional one-time local search setup, which may include Google Business Profile optimization, review request tools and a local ranking roadmap, as described on our website at the time you order.
We may improve or change features of our services over time. Our services are intended for business use.
2. Getting started and launch
After you order, you complete our onboarding intake and provide the content we need, such as business details, logo and photos. We aim to launch your website within 10 days of receiving your completed intake materials. Launch timing depends on you providing complete materials and responding to review requests promptly. You will have the chance to review your site before it goes live.
3. Fees and billing
- Setup fee: a one-time fee for building and launching your website, shown at checkout.
- Monthly fee: a recurring fee for hosting, security, maintenance and routine updates. Monthly billing begins 30 days after your website launches.
- Local Accelerator: a one-time fee shown at checkout.
Prices are in U.S. dollars and exclude any applicable taxes. Payments are processed by Stripe, and you authorize us to charge your payment method for recurring fees until you cancel. You are responsible for keeping your payment information current. If a payment fails, we may retry it and may suspend your website until your account is current. We may change our prices for future billing periods by giving you at least 30 days’ notice.
4. Term and cancellation
There is no minimum commitment period. You may cancel your monthly service at any time by contacting us. Cancellation takes effect at the end of the billing period in which you cancel, and your website will then be taken offline. Fees already paid are non-refundable, including the setup fee and the Local Accelerator fee once work on them has begun, except where required by law.
5. Who owns what
What you own, at all times
You own your domain name, the text and written content you provide or approve, your images and branding assets, and your customer data, including leads and form submissions collected through your website.
What we own and operate
We own and retain the tailored website design and theme, the WordPress build and the website database. We license these to you for use as part of the service while your subscription is active.
If you cancel before 24 months
You keep your domain, content and customer data and may use them to build a new website anywhere. We do not export the website design, theme, files or database. You would need to build a new website from your content.
After 24 months of payments
If you have made 24 months of monthly payments and then cancel, we will provide you with a compressed (zip) copy of your website files and database so you can host the website yourself. After that point you own the website files we deliver, subject to the licenses of any third-party software and fonts they include. An early buyout of the website files may be available by separate written agreement; contact us for details.
6. Your content and responsibilities
- You are responsible for the accuracy and legality of the information, claims and materials you provide, including licenses, certifications, insurance, pricing and testimonials.
- You confirm that you own or have permission to use everything you give us, and that it does not infringe anyone’s rights.
- You grant us a non-exclusive license to use, copy, host, display and modify your content as needed to build, operate and promote your website and to provide our services.
- You will not use our services for anything unlawful, deceptive, harmful or that violates others’ rights, and you will not interfere with the security or operation of our systems.
- You are responsible for keeping access credentials for your domain and accounts secure and for giving us the access we reasonably need.
7. Updates and support
Your monthly fee includes routine updates to your website, such as changing text, phone numbers, hours or photos, and adding testimonials. We aim to complete routine updates within 24 to 48 hours of your request. Larger changes, such as adding new sections, new features or redesigning pages, may be quoted separately.
8. Hosting, security and third-party services
We host your website using third-party infrastructure and use security tools such as a web application firewall. We work to keep your website available and secure, but we do not guarantee uninterrupted or error-free operation or that your website will never be attacked. If your website is compromised through a security breach of the hosting environment or the website software we manage, we will clean and restore it at no extra charge. This does not apply to problems caused by your own credentials being shared or misused, by content you add, or by services you connect without our involvement.
Our services depend on third parties such as Google, domain registrars, payment processors and hosting providers. We are not responsible for changes to their services or policies.
9. Local Accelerator and search results
Search engines and review platforms decide their own rankings and policies. We do not guarantee any particular ranking, number of leads, customers, reviews or revenue. You are responsible for complying with the policies of Google and other platforms, including their rules on requesting and displaying reviews. You must not offer incentives for reviews or selectively request them, and you must not post or purchase fake reviews.
10. Intellectual property
Except for your content, all rights in our services, website, designs, themes, software, trademarks and materials belong to Aileron Marketing and its licensors. Nothing in these Terms transfers ownership to you except as stated in section 5.
11. Privacy
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
12. Disclaimers
Our services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
13. Limitation of liability
To the fullest extent permitted by law, Aileron Marketing will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising out of or related to our services. Our total liability for any claim relating to the services will not exceed the amount you paid us in the 12 months before the event that gave rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Indemnification
You agree to defend and indemnify Aileron Marketing against claims, damages and expenses (including reasonable attorneys’ fees) arising from the content and materials you provide, your use of the services in violation of these Terms, or your violation of any law or third-party right.
15. Suspension and termination by us
We may suspend or terminate your services if you do not pay, you breach these Terms, your content is unlawful or harmful, or continuing to host your website creates legal or security risk. Sections that by their nature should survive termination, including ownership, fees owed, disclaimers, limitation of liability and indemnification, will survive.
16. Governing law and disputes
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us and try in good faith to resolve the dispute informally. Any claim that is not resolved will be brought in the state or federal courts located in Minnesota, and you consent to their jurisdiction.
17. Changes to these Terms
We may update these Terms from time to time. We will post the new version here with a new “Last updated” date and, for material changes, give you reasonable notice. If you keep using our services after the changes take effect, you accept the updated Terms.
18. General
These Terms are the entire agreement between you and Aileron Marketing about the services and replace any earlier agreements on the same subject. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of our business.
